1. Acceptance

These Terms of Service ("Terms") form a binding agreement between you (the "Agent", "you") and Relay ("Relay", "we", "us", "our"), the operator of the service at tryrelay.pro.

By creating an account, clicking "I agree", or using any part of Relay, you accept these Terms and our Privacy Policy. If you do not agree, do not use Relay.

2. Eligibility

Relay is offered only to property agents registered with the Council for Estate Agencies (CEA) in Singapore. By signing up, you represent and warrant that:

  • You hold a valid, current CEA registration number issued under the Estate Agents Act 2010 (EAA).
  • You are attached to an estate agent licensed by the CEA.
  • You will provide your CEA registration number and keep it accurate at all times.
  • You are at least 18 years old and have the legal capacity to enter into this agreement.

We may verify your CEA status against the CEA Public Register at any time and may suspend or terminate accounts that misrepresent registration status.

3. The service

Relay is an AI-assisted drafting and lead management tool. Core features include:

  • Email forwarding from portal lead inboxes (PropertyGuru, 99.co, EdgeProp, SRX) to [email protected], parsed into structured leads.
  • AI-drafted WhatsApp replies in the Agent's voice, with the Agent's CEA number auto-appended.
  • Lead scoring, viewing briefs, OTP timeline tracking, and BSD/ABSD stamp duty estimates.

Drafts only. Relay does not contact leads. Every message must be reviewed and sent by the Agent through the Agent's own channel (typically WhatsApp). Relay never represents itself as the Agent and never executes any estate agency work.

4. Acceptable use

You agree that you will not, and will not permit any third party to:

  • Send spam, unsolicited bulk messages, or marketing in breach of the Spam Control Act 2007 or PDPA Do-Not-Call Provisions.
  • Use Relay to impersonate another person, agency, or CEA-registered agent.
  • Use Relay to communicate off-platform with leads in a way that misleads them about your identity, the property, or the transaction terms.
  • Forward emails or upload content for any account other than your own.
  • Enter sensitive personal data into Relay (e.g. NRIC numbers, CPF statements, bank statements, medical records). Use proper channels for those.
  • Resell, sublicense, or share your account credentials.
  • Reverse engineer, scrape, decompile, or attempt to extract underlying models, prompts, or system code.
  • Use Relay in any way that breaches Singapore law, the Estate Agents Act, the CEA Code of Ethics and Professional Client Care, or any CEA Practice Circular.

We may suspend or terminate any account that, in our reasonable judgement, breaches this section.

5. Subscription and billing

  • Pilot period. New Agents receive a 14-day pilot at no charge.
  • Paid plan. After the pilot, Relay is SGD 99 per month, charged in advance via Stripe.
  • Auto-renewal. Subscriptions renew monthly until cancelled.
  • Cancellation. You may cancel at any time from the Stripe billing portal in Settings. Cancellation takes effect at the end of the current billing period; access continues until then.
  • No partial refunds. Fees already paid are not refunded for the unused portion of a billing period, except where required by law.
  • Taxes. Fees are stated in Singapore Dollars and are exclusive of GST where applicable.
  • Price changes. We may change pricing on at least 30 days' written notice; the new price applies from the next billing cycle.
  • Failed payment. If a charge fails, we may suspend access until payment is received.

6. CEA compliance — your obligations

Relay is a software tool. Use of Relay does not constitute estate agency work and does not transfer any of your professional obligations to Relay. You remain solely responsible for:

  • Compliance with the Estate Agents Act 2010 (EAA), the CEA Code of Ethics and Professional Client Care, and all applicable CEA Practice Circulars.
  • Disclosure of your name, CEA registration number, and the estate agent you represent to leads and counterparties.
  • Customer Due Diligence (CDD) under the Estate Agents (Prevention of Money Laundering and Financing of Terrorism) Regulations.
  • Reviewing and approving the content of every message before it is sent.
  • Treating clients fairly, avoiding conflicts of interest, and complying with co-broking rules.

7. AI disclaimer

Drafts, lead scores, briefs, and stamp duty estimates produced by Relay are generated by large language models and computational logic. They may contain errors, hallucinations, omissions, or outdated information.

You must review every output for accuracy before relying on it or sending it. Relay makes no warranty that AI-generated content is accurate, current, complete, fit for any purpose, or compliant with any specific regulation. BSD/ABSD figures are estimates only and are not a substitute for verification with IRAS or qualified counsel.

8. Your data

You retain all rights in the data you submit (lead emails, voice samples, edits). You grant Relay a worldwide, royalty-free, non-exclusive licence to process that data solely for the purpose of providing the service to you, as detailed in our Privacy Policy.

We do not use your data to train third-party foundation models, sell it, or share it with other Agents.

9. Intellectual property

Relay, its software, design, brand, prompts, and documentation are owned by us or our licensors. We grant you a limited, non-exclusive, non-transferable, revocable licence to use Relay during the term of your subscription. No other rights are granted by implication.

10. Service availability

We aim for high availability but do not guarantee uninterrupted service. Planned maintenance, third-party outages (Supabase, Anthropic, Stripe, Cloudflare, Vercel), or force majeure events may cause downtime. We are not liable for losses arising from service unavailability.

11. Limitation of liability

To the maximum extent permitted by Singapore law:

  • Relay's total aggregate liability arising out of or in connection with these Terms or your use of the service is capped at the fees you have paid to Relay in the 12 months immediately preceding the event giving rise to the claim.
  • Relay is not liable for indirect, consequential, special, or punitive damages, including lost profits, lost commissions, lost transactions, or loss of goodwill.
  • Nothing in these Terms limits liability for fraud, gross negligence, or any liability that cannot be limited under Singapore law.

12. Indemnity

You agree to indemnify and hold Relay harmless from claims, losses, and reasonable legal costs arising from (a) your breach of these Terms, (b) your breach of the EAA or CEA rules, (c) misuse of lead personal data, or (d) content you submit or send through your own channels.

13. Termination

You may terminate at any time by cancelling in the billing portal and deleting your account in Settings. We may suspend or terminate the account on notice if you breach these Terms, misuse the service, or fail to pay. On termination, access ceases immediately and your data is purged within 30 days, except where retention is required by law (see Privacy Policy).

14. Changes to these Terms

We may update these Terms from time to time. Material changes will be notified by email and surfaced in-app at least 14 days before they take effect. Continued use after the effective date constitutes acceptance.

15. Governing law and jurisdiction

These Terms are governed by the laws of the Republic of Singapore. The Singapore courts have exclusive jurisdiction over any dispute arising out of or in connection with these Terms, except that we may seek urgent injunctive relief in any competent court.
